Chapter 2 - The Secret Empire and the First Crack in the Glass House

Claire did not drive to the Michigan Avenue penthouse she had decorated with Daniel. Instead, she took the Kennedy Expressway straight into the heart of downtown Chicago, pulling into the private subterranean garage of the Montgomery Tower on Wacker Drive.

The elevator required a biometric thumbprint and an encrypted keycard. When the mirrored doors opened onto the sixty-fourth floor, Arthur Sterling was already standing in the marble foyer holding a leather-bound portfolio.

Arthur had served her grandfather for thirty years. At sixty-two, with razor-sharp gray eyes and an immaculate bespoke three-piece suit, he was one of the most feared corporate restructuring attorneys in North America.

"You look remarkably calm for a woman who just dismantled her marriage," Arthur remarked, extending his arm to guide her into the corner conference room overlooking the Chicago River.

"I didn't dismantle it, Arthur," Claire replied, setting her purse on the glass table. "Daniel set fire to it. I merely refused to choke on the smoke."

Arthur placed the portfolio before her. "The news from the Lake Forest front is already traveling through backchannels. Daniel's executive assistant called my office fifteen minutes ago requesting an emergency wire authorization for twenty-two million dollars. Ellison Global has a coupon payment due on their high-yield commercial paper tomorrow morning at nine o’clock. If that wire doesn't clear, credit rating agencies will downgrade their debt to junk status by noon."

Claire walked over to the floor-to-ceiling window. Below her, the city moved in relentless motion: yellow taxis, bustling commuters, the deep green water of the river winding toward the lake. For nearly a decade, she had made herself small so Daniel Ellison could feel tall. Whenever he failed in a negotiation, she spent nights rewriting his proposals. Whenever his mother sneered at her background, Claire swallowed the insult and quietly transferred dividends to cover Ellison Global's liquidity shortages.

"How much total debt does Daniel personally guarantee?" Claire asked.

"Sixty-five million across three separate regional developments," Arthur said, turning a page. "And there’s more. In his bid to impress Madison Vale over the past eight months, Daniel purchased a twenty-four-million-dollar Bombardier Challenger 350 jet under a corporate lease, along with an eight-million-dollar beachfront villa in Naples, Florida. Both were collateralized using his projected equity payout from the Vanguard Apex restructuring deal."

Claire let out a dry, breathy laugh. "He bought his mistress a private jet on my grandfather's credit line."

"Precisely," Arthur said. "He was so confident that the restructuring would close today that he authorized his CFO to sign the final lease agreements yesterday afternoon. All that was required was the counter-signature of Vanguard Apex's principal investor."

Arthur pulled a Montblanc fountain pen from his pocket and laid it beside the contract.

"If you sign this document on page forty-eight, Claire, Ellison Global receives the hundred and forty million. The company survives, Daniel remains CEO, and you will spend the next three years fighting his high-priced divorce attorneys while he spends your family’s inheritance flaunting Madison Vale in the society columns."

Claire looked down at the pen. She didn't touch it.

"And if I reject the proposal?"

"If you issue a formal Notice of Non-Engagement," Arthur explained with a razor-thin smile, "the syndicate collapses instantly. The regional banks will issue margin calls within forty-eight hours. The lease on the jet will default by Friday. And because Daniel used his personal shares in Ellison Global as collateral for his private loans, he will face total personal insolvency within thirty days."

"What about the innocent employees at the firm?" Claire asked, her conscience still fighting through the justified fury.

"We have prepared for that," Arthur said, opening a second, thicker binder. "Montgomery Capital has already established a secondary special-purpose acquisition vehicle. When Ellison Global’s stock hits rock bottom, we can initiate a hostile debt-for-equity takeover, wipe out Daniel and Evelyn's equity to zero, protect the operational staff, and install Uncle Henry as interim chairman. The employees keep their pensions. The company survives. Only the vanity of the Ellison name is eradicated."

Claire stepped forward, picked up the pen, and turned directly to the final rejection page.

Without a single tremor in her fingers, she wrote two words across the agreement:

APPLICATION DENIED.

"Notify the syndicate," Claire instructed, handing the document back to Arthur. "Let Daniel Ellison discover what life feels like when he has to pay for his own champagne."
