Chapter 7 - The Emergency Board Meeting and the Poisoned Pill

Over the next forty-eight hours, Julian’s coastal estate transformed into a high-stakes war room.
Julian Vance was no longer just a recovering transplant patient; he was a titan mobilizing for war. Working alongside Dr. Reed, his trusted forensic accountants, and a team of federal white-collar criminal attorneys, Julian meticulously constructed an airtight legal noose around his brother Marcus and Arthur Pendelton.
"Marcus has called an emergency extraordinary shareholder meeting for tomorrow morning at 9:00 AM at the Vance Global Tower," Julian explained, reviewing the corporate agenda on a glowing holographic display in the study. "He intends to invoke Section 14 of the corporate bylaws, declaring me permanently incapacitated due to organ transplant complications. He plans to elect himself permanent Chairman and liquidate forty percent of our charitable foundations."
"Can he do that?" I asked, rocking Hope in my arms as she fed quietly from a bottle.
"Not if I walk through those boardroom doors in person," Julian replied, looking at me with intense focus. "Under the bylaws, the proxy can only be executed if two independent physicians certify my absence. Dr. Reed has refused to sign. Marcus is using a compromised physician—Dr. Barrett."
I flinched at the mention of Barrett’s name. "Dr. Barrett was terrified, Julian. Liam told me that Marcus threatened to ruin Barrett’s family if he didn't cooperate."
"Barrett will testify for the Department of Justice if we guarantee him federal immunity," Dr. Reed chimed in, closing her phone. "The US Attorney’s Office for the Southern District has just reviewed the audio files from Box 414. They have issued sealed federal arrest warrants for Marcus Vance and Arthur Pendelton for wire fraud, corporate extortion, and conspiracy to commit medical manslaughter."
"Then why do we need to go to the Board meeting?" I asked, fear tightening in my stomach. "Why not let the FBI arrest them at their homes?"
"Because Marcus controls the security servers inside the Vance Tower," Julian explained, his jaw tightening. "If he gets wind of the federal warrants before we secure the digital infrastructure, he will trigger a scorched-earth protocol—erasing the encrypted bank accounts that fund Liam's educational trust and dumping toxic assets into the public market, destroying thousands of employees' pensions. We have to confront him publicly, lock the systems, and execute the Board vote before the feds step in."
Julian turned to me, his eyes softening with deep concern. "Clara, you don't have to be there. You and Hope can stay here under armed guard. You've already suffered enough."
I looked down at my baby daughter, then looked back at Julian—the man carrying my husband’s heart.
"Liam didn't hide in a corner when he was dying," I said firmly, my voice leaving no room for argument. "He fought to the very last second to make sure Hope and I were protected. Marcus Vance threatened to take my daughter from me in that cemetery. I am coming with you."
Julian stared at me for a long moment, a slow, admiring smile touching his lips. "You truly are an extraordinary woman, Clara Hayes."
The next morning at 8:15 AM, a convoy of three armored black Suburbans pulled out of the cliffside estate, speeding down the highway toward the glittering glass monolith of Vance Global Enterprises in the heart of the financial district.
Inside the lead vehicle, Julian adjusted the cuffs of his tailored charcoal suit. Though still somewhat lean from surgery, his color had returned, and his presence was commanding. I sat beside him, dressed in a sharp black blazer, holding Hope securely in an infant carrier equipped with protective shielding.
As we approached the corporate tower, our lead driver’s radio crackled with static.
"Alpha lead, this is Overwatch. We have a problem. Marcus Vance has placed the building on high-security lockdown. Private armed contractors from Aegis Security are guarding the executive elevators. They have orders to deny entry to anyone not on Marcus’s approved manifest."

Julian grabbed the radio transceiver, his voice calm, cold, and lethal.
"This is Chairman Julian Vance. Ram the perimeter security gates. We are taking back my company."
