Chapter 7

The Monday certification was more dangerous than Rocco first understood.

Valenti Hospitality was refinancing a large portfolio of seventeen hotels.

The lenders required updated conflict disclosures because the company had recently adopted stronger governance standards.

Rocco’s signature did not guarantee every vendor was perfect.

It confirmed that senior management had disclosed known material conflicts.

Paul’s undisclosed ClearTone interest would make that certification inaccurate.

Claire’s success fees complicated it further.

Rocco’s CFO said:

“If you sign without knowing, that does not make you part of their original nondisclosure.”

“But once I know?”

“You cannot sign.”

“Obviously.”

The lender’s outside auditor was scheduled to begin vendor testing the following week.

Paul knew.

Claire knew.

Their private messages became more urgent as the date approached.

Paul:

Need Monday clean. After that ClearTone rolls into ordinary sample pool.

Claire:

Ethan heard us again Thursday.

Paul:

How much?

Claire:

Enough to repeat your name and ownership.

Paul:

He is four.

Claire:

He is four and he repeats everything to Martha.

Paul:

Then handle it.

Claire:

I already have school and audiology notes showing confusion.

Rocco stopped reading.

Rebecca continued.

Paul:

Good. If he says anything, it’s a child misunderstanding a business word.

Claire:

Do not say that in writing again.

That message survived because Paul’s corporate phone backed up automatically.

They were no longer simply hiding financial conflicts.

They were discussing how Ethan’s statements would be characterized if he repeated them.

Then another exchange from the morning of the reception:

Claire:

He was outside the library last night.

Paul:

Aid on?

Claire:

I don’t know.

Paul:

Find out.

Claire:

Stop panicking. He doesn’t understand what a beneficial owner is.

Paul:

He understood “Uncle Paul owns ClearTone” once.

Rocco read it again.

Claire knew Ethan had accurately repeated the essential fact months earlier.

Her later claims that he routinely “invented” adult conversations were not innocent observations.

She already had reason to believe he had heard something real.

Rebecca said:

“This is enough to justify the wider audit.”

Rocco looked at her.

“I’m past wondering whether we audit.”

“What are you wondering?”

May you like

“How much of my company I’m willing to expose when we do.”

That was the question waiting for him the next morning.
